1. Introduction
These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "User") and Scale My Social ("Company," "we," "us," or "our"). By accessing or using our website, [insert website address], and related services (collectively referred to as the "Services"), you agree to be bound by these Terms. If you do not agree, please discontinue use of the Services immediately.
2. Services Description
Scale My Social provides social media marketing and management services designed to help businesses and individuals grow their online presence.
Our Services may include, but are not limited to:
Social media strategy development
Content creation and scheduling
Community management
Advertising campaign management
Analytics and reporting
3. Eligibility
To use our Services, you must be at least 18 years of age and legally capable of entering into a binding contract.
4. Account Creation and Security
You may be required to create an account to access certain features of the Services. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use of your account.
5. User Content
You retain ownership of any content you submit to the Services ("User Content").You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute User Content for the purpose of providing the Services. You represent and warrant that your User Content does not infringe upon the intellectual property rights or other rights of any third party.
6. Intellectual Property
The Services and all associated content, including text, graphics, logos, trademarks, and software, are the exclusive property of Scale My Social or its licensors. You may not use any of our intellectual property without our express written consent.
7. Payment and Fees
Our Services are offered on a subscription basis or under individually agreed-upon terms. Fees are subject to change, and we will provide notice of any such changes. Payment terms and methods will be outlined in your service agreement.
8. Limitations of Liability
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL SCALE MY SOCIAL BE LIABLE FORANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU TAKE ON ALL LIABILITY BROUGHT AGAINST YOU.
9. Indemnification
You will indemnify and hold Scale My Social harmless from any claims, losses, damages, or liabilities arising from your use of the Services or breach of these Terms.
10. Warranties and Disclaimer:
ScaleMySocial represents and warrants that it has the legal right and authority to enter into this Agreement and to perform the Services. NOTE: IT IS IMPOSSIBLE FOR SCALEYMYSOCIAL TO KNOW OR BE ABLE TO DETERMINE THINGS LIKE LEAD COST, CONVERSIONS ON LEADS, OR THE CLIENTS SUCCESS RATE WITH THIS PROGRAM. RESULTS CAN VARY GREATLY FROM BUSINESS TO BUSINESS. CLIENT FULLY UNDERSTANDS AND TAKES FULL RESPONSIBILITY THAT LEADS ARE GENERATED AT DIFFERENT PRICES AND SCALEMYSOCIAL MAKES NO WARRANTIES OR GUARANTEES OF ANY KIND REGARDING RESULTS OF PROGRAM, COSTS PER LEAD, AMOUNT OF LEADS, EXPRESS OR IMPLIED, REGARDING THE SERVICES.
11. Fees and Payments
The Client will pay ScaleMySocial, LLC for the Services and deliverables agreed and detailed in your agreeement. To be billed using a credit card/debit, ACH payment, wire, zelle. If customer is using credit card or bank debit a 3.5% fee will be added to the total. Payment will be due immediately after signing their agreement. NO work will begin without the agreement signed and payment made.
12. Payment Plan:
If Payment plan was agreed to between both parties, the total charge is divided into two (2) payments. One (1) to be made as a deposit for work to begin and the second payment will be due no later than thirty (30) days after the first payment is processed. NOTE: ALL WORK WILL BE DONE AND SCALEMYSOCIAL WILL DELIVER ALL SERVICES AGREED TO ABOVE, LESS ANY MEDIA PRODUCED, SUCH AS VIDEOS AND IMAGES FOR THE SETUP. NO PRODUCED VIDEO WILL BE RELEASED UNTIL FINAL PAYMENT IS MADE AND CLIENT IS PAID IN FULL. CLIENT CAN PAY SECOND PAYMENT AT ANYTIME WITHIN THIRTY (30) DAYS TO EXPEDITE THEIR SETUP.
13. Termination Or Cancellation:
Client agrees that there are NO Refunds Permitted For Any Reason and Client agrees not to dispute any credit card charges or payments. If the Client does make any payment disputes, this section 8 will act as the Client’s agreement to forfeit and/or cancel any dispute against the Company.
14. Termination
We may terminate your access to the Services at any time, with or without cause. You may terminate your use of the Services at any time by following the specified process within your service agreement.Upon termination, all rights and licenses granted under these Terms shall immediately cease.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or a prominent notice on our website.Your continued use of the Services after changes signifies your acceptance of the new Terms.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State. of FLORIDA. Any disputes arising under these Terms shall be resolved through binding arbitration.
